                        Evaluation Software Agreement

We agree to the conditions described below in using evaluation software set provided
by Advanced Data Controls Corp.

1.  The purpose of using the evaluation software set is limited to determining whether
    to purchase this software from Advanced Data Controls Corp..
2.  We will not use the product produced with the evaluation software set except for
    evaluation purpose.
3.  We will not use the evaluation software set outside the country of purchase.
4.  We use the evaluation software set (target XXXX) as the followings;
     (1) C CROSS XXXX COMPILER
     (2) MULTI
     (3) XXXX SERVER
5.  The computer system(s) where the evaluation takes place is/are determined, and it/
    they should not be changed without being acknowledged by Advanced Data Controls Corp..
6.  The number of license and of authorization key (applied only for case of Windows)
    provided by Advanced Data Controls Corp. are as many as the number of computer system
    determined in article 5.
7.  The evaluation term is 45 days from the day the license is issued.
8.  We understand that Advanced Data Controls Corp. strictly prohibits us to let any third
    party use the product or to copy the evaluation software set. We will protect the
    production right for Advanced Data Controls Corp..
9.  We provide Advanced Data Controls Corp. with the information and result of the
    evaluation written on paper.  Advanced Data Controls Corp. will not openly discuss
    the content of this report with the third party except the purpose of development of
    this software.
10. We will erase every piece of evaluation software set on the system. In case that
    we cannot follow this rule, we will purchase the evaluation software set from
    Advanced Data Controls Corp..
11. We will return the CD ROM and authorization key(s) (applied only for case of Windows)
    to Advanced Data Controls Corp. when the evaluation term expires.
12. We will take all responsibility for any damage which occurs by failing to follow any
    part of this agreement.

Showing that we understood everything described above, we submit this agreement with the
signature to Advanced Data Controls Corp..
